Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Seismi, Inc. ("Seismi," "we," "us," or "our") governing your access to and use of the Seismi website located at https://www.seismi.co (the "Site"), our hardware products including the Pet Mat, Cattle Sensor, and related devices (the "Hardware"), our software applications and services (the "Software"), and any related services (collectively, the "Services").

By accessing or using the Services, purchasing or using our Hardware, or downloading or using our Software, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

Description of Services

Seismi provides animal health monitoring solutions, including:

• Hardware devices for monitoring vital signs in pets and livestock
• Software applications for data collection, analysis, and visualization
• Cloud-based services for data storage and reporting
• Methane monitoring, reporting, and verification (MRV) solutions

Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms and that you are not prohibited from using the Services under applicable law.

Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Hardware Products

Limited Warranty: Seismi warrants that Hardware products will be free from defects in materials and workmanship for a period of one (1) year from the date of delivery. This warranty does not cover damage resulting from improper installation, misuse, neglect, accident, unauthorized modification, or environmental conditions outside specified operating parameters.

Warranty Remedies: If a Hardware product fails to conform to this warranty during the warranty period, Seismi will, at its option, repair or replace the defective product or refund the purchase price.

Use Restrictions: Hardware products are designed for use with animals under appropriate supervision. You agree to use Hardware products only for their intended purpose and in accordance with all provided documentation and instructions.

Software License

License Grant: Subject to these Terms, Seismi grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely in connection with the Services and Hardware products.

License Restrictions: You may not:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Remove or alter any proprietary notices on the Software
• Use the Software for any unlawful purpose

Intellectual Property Rights

The Services, including all content, features, functionality, Hardware designs, Software, trademarks, and other intellectual property, are owned by Seismi or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Services except for the limited license expressly granted herein.

User Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that data collected by our Hardware and Software may be transmitted to our servers for processing and storage. You retain ownership of your data and grant Seismi a license to use, process, and store such data to provide the Services.

Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use the Services to transmit malware or harmful code
• Collect information about other users without their consent
• Use the Services in any manner that could damage or impair the Services
• Use automated means to access the Services without our permission

Third-Party Services

The Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party websites or services. Your interactions with third parties are solely between you and such third parties.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SEISMI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SEISMI DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICES.

THE SERVICES ARE NOT INTENDED TO REPLACE PROFESSIONAL VETERINARY CARE. ALWAYS CONSULT A QUALIFIED VETERINARIAN FOR ANIMAL HEALTH DECISIONS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEISMI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL SEISMI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SEISMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Seismi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Site and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Seismi regarding the Services and supersede all prior agreements and understandings.
